Nothing in this software, its outputs, or these Terms constitutes legal advice or creates an attorney-client relationship. You are solely responsible for all legal decisions regarding your matter.
These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and ProperResponse (properresponse.com, a registered Wyoming trade name of Myecommerce Investments) ("ProperResponse," "we," "us," or "our") governing your access to and use of the ProperResponse platform and services available at properresponse.com (the "Service").
By creating an account, clicking "I Agree," starting a trial, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
We may update these Terms periodically. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
ProperResponse is a software company. We are not attorneys. We do not practice law. The Service is a technology tool for organizing and tracking information related to legal matters. Nothing in the Service — including its features, outputs, templates, AI analysis, strategy tools, or any communication from us — constitutes the practice of law.
Nothing in the Service constitutes legal advice. The Service provides informational and organizational tools only. You should not rely on any output of the Service as a substitute for the advice of a qualified, licensed attorney. Legal outcomes depend on facts, jurisdiction, applicable law, and professional judgment that software cannot replicate.
Your use of the Service does not create an attorney-client relationship between you and ProperResponse, or between you and any employee, contractor, or agent of ProperResponse, under any circumstances.
The Service is available to self-represented litigants (also known as "pro se" litigants) as well as licensed legal professionals. If you are representing yourself in a legal matter, we strongly encourage you to seek qualified legal counsel. Self-representation carries significant risks. ProperResponse cannot substitute for professional legal representation and makes no representations about outcomes in any legal matter.
If you cannot afford an attorney, legal aid organizations, law school clinics, and bar association lawyer referral services may be available to you at low or no cost.
ProperResponse does not carry legal malpractice insurance. No use of this Service creates any basis for a malpractice claim against ProperResponse.
You must be at least 18 years old and capable of forming a binding contract. The Service is intended for:
The Service is not designed for criminal defense matters, child custody proceedings involving minors, or immigration matters, though it may be used as an organizational tool in any context. We make no representations about the suitability of the Service for any specific type of legal proceeding.
ProperResponse is a cloud-based legal case management platform providing tools for organizing case information, tracking parties and contacts, monitoring deadlines and milestones, storing documents, logging activities and tasks, AI-assisted legal analysis, and team collaboration. We reserve the right to modify, add, or discontinue any feature with reasonable notice.
The Service includes AI-powered features, including legal theory generation, strategy analysis, and document assistance (collectively, "AI Outputs"). AI Outputs are generated automatically and are not reviewed by attorneys before being presented to you.
AI Outputs do not constitute legal advice, legal opinions, or professional legal analysis of any kind. AI systems produce inaccurate, incomplete, outdated, or misleading content. AI-generated legal information may not reflect current law in your jurisdiction, applicable local rules, or the specific facts of your case.
You are solely responsible for reviewing, verifying, and validating all AI Outputs before relying on them, including before submitting any content to a court or using it in any legal proceeding. We strongly recommend having AI-generated legal content reviewed by a licensed attorney before use.
You may not use AI Outputs or information derived from the Service to develop a competing product or service, to train or fine-tune any artificial intelligence or machine learning model, or to represent to any person that AI Outputs were produced by a licensed attorney.
We may use de-identified and aggregated data from your use of AI features to improve our AI systems. We will not use your identifiable case data or client information to train generalized third-party AI models. See our Privacy Policy for details.
Missing a court deadline can have severe, irreversible consequences for your case. Do not rely solely on ProperResponse to track any court deadline.
ProperResponse provides tools to track, calculate, and receive reminders about court deadlines and legal dates. However, deadline calculations, calendar notifications, and reminder features may be inaccurate, incomplete, or out of date. Court rules, local rules, standing orders, court holidays, judicial procedures, and statutes of limitations change frequently and vary by jurisdiction, court, judge, and case type. The Service cannot and does not guarantee accuracy for your specific matter.
You are solely responsible for verifying all court deadlines directly with the applicable court, the official court docket, the governing rules of procedure, and applicable local rules or standing orders. Never rely solely on this Service for any court deadline.
ProperResponse expressly disclaims all liability for any missed court deadline, filing deadline, statute of limitations, or other legal date, regardless of cause, including errors in the Service, failure of notifications, inaccurate calculations, service outages, or any other reason.
The Service is offered on a subscription basis. Current plans and pricing are available at properresponse.com/#pricing. We may change pricing with at least 30 days' notice to existing subscribers, effective at your next renewal.
New subscribers receive a 3-day free trial. A valid payment method is required. You will not be charged during the trial. If you do not cancel before the trial ends, your subscription begins automatically and your payment method is charged at the applicable rate.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.
Cancel any time via your billing dashboard or by emailing support@properresponse.com. Cancellation takes effect at the end of your current paid period. You retain access through that date.
All subscription fees are final and non-refundable, except as required by applicable law. No partial refunds are issued for unused portions of a billing period.
If payment fails, we may suspend access until payment is resolved. You are responsible for keeping your payment information current. Persistent payment failures may result in account termination.
Fees do not include applicable taxes. You are responsible for all applicable sales, use, VAT, GST, or similar taxes.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at security@properresponse.com if you suspect unauthorized access. We recommend enabling two-factor authentication. You may not share credentials or allow others to use your account except through authorized team member features.
You retain all right, title, and interest in all content, documents, case information, and data you upload or create within the Service ("Your Data"). We claim no ownership.
You grant ProperResponse a limited, non-exclusive license to host, store, process, and display Your Data solely as necessary to provide the Service. This license terminates upon account deletion.
We implement commercially reasonable security measures including encryption in transit and at rest, access controls, and regular security reviews. No security system is perfect, and we cannot guarantee absolute security.
In the event of a confirmed breach affecting Your Data, we will notify you within 72 hours of discovery, as required by applicable law.
Following account termination or cancellation, you have 90 days to export and retrieve Your Data. After that window, Your Data is permanently and irrevocably deleted. Export your data before canceling.
We use Amazon Web Services (hosting and storage), Stripe (payment processing), and Anthropic (AI features) as subprocessors. Each is subject to data processing agreements. See our Privacy Policy for details.
We treat Your Data as confidential and will not disclose it to third parties except: (a) as necessary to provide the Service; (b) as required by law, court order, or legal process; (c) to protect rights, property, or safety; or (d) with your consent. Where legally permitted, we will attempt to notify you before disclosing Your Data in response to legal process.
Content stored on ProperResponse is not protected by attorney-client privilege solely by virtue of being stored here. If you are an attorney, you are responsible for ensuring your use of the platform complies with your professional obligations regarding client confidentiality and applicable rules of professional conduct. If you are a pro se litigant, documents and communications stored on this platform do not carry the protection of attorney-client privilege.
We may be required to produce Your Data in response to a valid subpoena, court order, or government request. We will review such requests carefully and, where legally permitted, will notify you promptly so that you may seek appropriate relief.
You agree not to use the Service to:

The Service, including its software, design, features, user interface, trademarks, and underlying technology, is owned by ProperResponse and protected by applicable law. These Terms grant you only the limited right to use the Service as described herein.
You retain all intellectual property rights in Your Data and original content you create using the Service.
If you provide Feedback (suggestions, ideas, or improvements), you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose. Feedback does not create any obligation to compensate you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PROPERRESPONSE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ERRORS WILL BE CORRECTED; (C) DEADLINE CALCULATIONS OR NOTIFICATIONS WILL BE ACCURATE; OR (D) RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.
TO THE FULLEST EXTENT PERMITTED BY LAW, PROPERRESPONSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES ARISING FROM:
EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS. IF SUCH LAWS APPLY TO YOU, SOME OF THE ABOVE MAY NOT APPLY.
You agree to defend, indemnify, and hold harmless ProperResponse and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) Your Data; or (e) your reliance on any AI-generated output from the Service.
Cancel your subscription and close your account at any time via your billing dashboard. Termination takes effect at the end of your current paid period.
We may suspend or terminate your account immediately and without notice if you materially breach these Terms, violate Section 11, pose a security risk, or if we are required to do so by law. We may terminate inactive accounts (12+ months of no activity) with 30 days' prior notice.
Upon termination, your right to use the Service ceases. You have 90 days to retrieve Your Data (Section 9.5). Outstanding fees remain due. Sections 2, 5, 9.5, 10, 12, 13, 14, 15, and 17 survive termination.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
Before initiating formal proceedings, contact us at legal@properresponse.com and attempt good-faith resolution for at least 30 days.
For disputes not resolved informally, you consent to the exclusive jurisdiction of the state and federal courts in the State of Wyoming.
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION AGAINST PROPERRESPONSE.
Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the cause of action accrues, or it is permanently barred.
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and ProperResponse regarding the Service.
Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and remaining provisions remain in effect.
No Waiver. Our failure to enforce any provision is not a waiver of that right.
Assignment. You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or asset sale.
Force Majeure. We are not liable for failures beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
Electronic Communications. You consent to receive communications from us electronically. Electronic communications satisfy any legal writing requirement.
Changes to Service. We may modify or discontinue the Service or any feature at any time. We are not liable to you or any third party for such modifications.
